• Interfere with security features, attempt unauthorized access, or reverse engineer.
• Use the Services in violation of any applicable state or federal law.

5. Intellectual Property

• All content, logos, software, and materials provided by Studio 99 remain our exclusive property.
• You are granted a limited, non-transferable license to access the Services.
• Unauthorized use may result in civil and criminal liability.

6. Purchases, Subscriptions & Payments

• If you purchase digital content, subscriptions, or in-app features, you must comply with Apple App Store, Google Play, or other applicable payment platforms.
• Auto-renewal Disclosures (California & New York law): Subscriptions automatically renew unless canceled at least 24 hours before renewal. You will be notified of renewal terms at the point of purchase and via confirmation email.
• All fees are non-refundable, except as required by law.

7. Privacy & Data Collection

• Your information is handled according to our Privacy Policy.
• California Users (CCPA): You have the right to request access, deletion, and opt-out of data sales.
• New York Users (NY SHIELD Act): Studio 99 maintains administrative, technical, and physical safeguards to protect personal data.
• By using our Services, you consent to the collection and processing of your data as described.

8. Third-Party Services

The Services may link to or integrate with third-party platforms. Studio 99 is not responsible for third-party content, actions, or terms. You agree to review and comply with third-party terms where applicable.

9. Termination of Service

We may suspend or terminate your account at any time, with or without notice, for conduct that:

• Violates these Terms,
• Harms the integrity of our platform, or
• Poses a security or legal risk.

Upon termination, your right to access our Services will immediately cease.

10. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. Studio 99 disclaims responsibility for errors, downtime, or inaccuracies.

11. Limitation of Liability

To the fullest extent permitted by law:

• Studio 99, Inc. and its affiliates will not be liable for indirect, incidental, or consequential damages.
• Liability is capped at the amount you paid for the Services in the 12 months preceding the claim.
• Certain states (including California and New York) do not allow limitations on implied warranties, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Studio 99, Inc., its officers, directors, employees, and affiliates from any claims, damages, or expenses arising out of:

• Your use of the Services,
• Your violation of these Terms, or
• Your infringement of any rights of a third party.

13. Arbitration & Dispute Resolution

• All disputes will be resolved through binding arbitration in Florida, under the rules of the American Arbitration Association.
• Florida law governs, except where state-specific consumer rights (e.g., California or New York protections) require otherwise.
• Each party shall bear its own legal costs and attorney’s fees.
• You waive the right to class action lawsuits, except where prohibited by law.

14. State-Specific Disclosures

• California Residents: You may contact the California Department of Consumer Affairs for complaints.
• New York Residents: Auto-renewal and data privacy protections under the NY SHIELD Act apply.
• Other States: Where state law provides greater consumer protection, those protections will apply.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted with the updated Effective Date. Continued use of the Services after changes constitutes acceptance.
